Job Overview

What We Expect of You
✓ Assist in enhancing governance frameworks and structures in preparation for the IPO.
✓ Collaborate with investment bankers, legal advisors, and auditors to prepare the
Draft Red Herring Prospectus (DRHP) and other IPO-related documents.
✓ Independently handle listed company compliances.
✓ Ensure compliance with RoC (Registrar of Companies) requirements.
✓ Possess knowledge of agreements and trademark processes.
✓ Oversee MSME compliances and have a solid understanding of the MSME Act.
✓ Organize and conduct Board Meetings.
✓ Ensure compliance with SEBI (Listing Obligations and Disclosure Requirements) Regulations.
✓ Handle timely disclosures of financial and non-financial information to stock exchanges.
✓ Liaising with stock exchanges and regulatory bodies for periodic filings, including
quarterly, half-yearly, and annual reports.
✓ Manage shareholder communications, such as dividend payouts, annual general meeting notices, and investor queries.
✓ Organize, coordinate, and attend board meetings, committee meetings, and
shareholders' meetings.
✓ Ensure timely filings with the Ministry of Corporate Affairs (MCA), SEBI, and stock exchanges.
✓ Coordinate with auditors for the completion of secretarial audits.
✓ Handle litigation matters and ensure compliance with applicable laws.
Essential
Educational & Functional Qualifications
• Qualified Company Secretary
• A bachelor’s degree in law (LLB) or Finance is preferred.
Core Competencies
✓ Minimum of 5-6 years of experience as a Company Secretary, with 1-2 years significant experience in listed company compliances.
✓ Strong expertise in pre-IPO documentation and liaising with SEBI, stock exchanges, and other regulatory bodies.
✓ Previous experience working with corporate restructuring, public offerings, and compliance reporting for listed entities is essential. Effective communication and interpersonal skills.
✓ In-depth knowledge of SEBI regulations, Companies Act, 2013, and corporate governance practices.
✓ Excellent communication and interpersonal skills to interact effectively with the Board, senior management, investors, and regulatory bodies.
✓ Strong organizational and project management skills to manage multiple responsibilities and meet tight deadlines.
✓ Expertise in drafting legal documents, agreements, and offering memorandums.
